Placed Terms of Service

Effective date: September 15, 2026

These Terms of Service ("Terms") are a legal agreement between you and ESLOYEL INC, the operator of Placed ("Placed," "we," "us," or "our"). These Terms govern your use of the Placed mobile application, Placed AI, related support services, and our website, including placedapp.ai.

By creating an account, subscribing, or using Placed, you agree to these Terms and acknowledge the Placed Privacy Policy. If you do not agree, do not use Placed.

1. Eligibility

You must be at least 13 years old to use Placed. If you are under the age of legal majority where you live, you may use Placed only with the permission of a parent or legal guardian who agrees to these Terms as applicable.

2. Your Account

You are responsible for:

  • providing accurate account information;
  • maintaining the confidentiality of your sign-in credentials;
  • activity performed through your account; and
  • promptly contacting Placed if you believe your account has been compromised.

You may not impersonate another person, interfere with another user's account, or attempt to bypass access controls.

3. Household Content and Sharing

Placed lets users create households, organize items and documents, and share household access with other users.

You retain your rights in content you upload to Placed. You grant Placed a limited, non-exclusive license to host, store, copy, process, transmit, display, analyze, and otherwise use that content only as reasonably necessary to operate, secure, support, and improve the Placed service and provide features you request.

If you upload content to a shared household, authorized household members may be able to access that content according to household permissions and item visibility settings.

You represent that you have the right to upload and share the content you provide and that doing so does not violate law or another person's rights.

4. Acceptable Use

You may not use Placed to:

  • violate applicable law;
  • infringe intellectual-property, privacy, or other rights;
  • upload malware or intentionally harmful content;
  • access data you are not authorized to access;
  • probe, attack, reverse engineer, circumvent, disable, or interfere with security or usage controls except where such restriction is prohibited by law;
  • abuse automated or AI features, including attempts to evade rate limits or account restrictions; or
  • use Placed in a manner that materially disrupts the service or other users.

We may restrict or suspend access when reasonably necessary to protect Placed, users, or our systems.

5. Placed AI

Placed AI can help users locate and understand saved household items and documents and explain how to use the app.

AI responses are generated automatically and may be incomplete, outdated, or wrong. Placed AI is not a substitute for professional advice and should not be relied upon as the sole source for medical, legal, financial, safety, warranty, return, or other consequential decisions.

You are responsible for verifying important information before acting on an AI response.

You may not attempt to use Placed AI to obtain hidden prompts, credentials, security information, private records that you are not authorized to access, or other confidential implementation information.

6. Receipts, Barcodes, and Documents

Placed may allow you to save receipt images, extracted text, related documents, and barcode values. These features are provided for organization and reference.

A barcode displayed or stored by Placed does not guarantee that a retailer will accept it, that it is a legally sufficient receipt, or that a return, warranty, reimbursement, or other claim will be honored. Retailer and manufacturer policies control those decisions.

7. Subscriptions, Free Trials, and Billing

Paid Placed features may be offered through auto-renewable subscriptions purchased through Apple's App Store.

The current subscription options are:

  • Monthly: $9.99 per month, with a 7-day introductory free trial for eligible subscribers; and
  • Annual: $49.99 per year, with a 14-day introductory free trial for eligible subscribers.

The exact price, currency, taxes, eligibility, billing terms, and availability shown in the Apple purchase interface control if they differ from these Terms.

Automatic renewal

An auto-renewable subscription renews automatically unless you cancel it through your Apple Account subscription settings in accordance with Apple's rules. Apple charges your Apple Account according to the terms displayed at purchase.

Free trials

If you begin an eligible introductory free trial, you will not be charged during the stated trial period. The monthly plan currently offers a 7-day trial and the annual plan currently offers a 14-day trial. Unless you cancel before the applicable trial ends in accordance with Apple's rules, the subscription will convert to the paid subscription for the plan you selected at the price displayed by Apple.

Introductory-offer eligibility is determined by Apple and may be limited based on prior use of introductory offers in the applicable subscription group.

Managing and cancelling

You can manage or cancel App Store subscriptions through your Apple Account subscription settings. Deleting the Placed app or requesting deletion of a Placed account does not by itself guarantee cancellation of an Apple subscription. You should separately cancel through Apple when you no longer want the subscription to renew.

Restoring purchases

Where supported, Placed provides a method to restore eligible App Store purchases associated with your Apple Account.

Refunds

Payments are processed by Apple. Refund requests are generally subject to Apple's policies and processes.

8. Changes to Features and Pricing

We may add, remove, modify, or discontinue features. Subscription pricing or plan structure may change subject to applicable law and Apple's requirements. Material changes will be handled in accordance with applicable platform rules and law.

9. Support

If you need help, use the in-app Support form or visit placedapp.ai/support.

We may use account, app, device, and diagnostic information submitted with a support request to investigate and resolve the issue.

10. Account Deletion and Termination

You may request account deletion through the app where available. Placed may use a short grace period before final deletion and may permit cancellation of the deletion request during that period.

Deleting a user account does not necessarily delete content belonging to a shared household when that content remains relevant to other authorized members.

We may suspend or terminate access for material violations of these Terms, security threats, fraud, abuse, legal requirements, or other conduct that creates meaningful risk to Placed or its users.

11. Intellectual Property

Placed, including its software, design, trademarks, logos, interfaces, and original service content, is owned by ESLOYEL INC or its licensors and is protected by applicable intellectual-property laws.

These Terms do not give you ownership of Placed or any right to use Placed branding except as necessary to use the service normally.

12. Third-Party Services

Placed relies on third-party services, including Apple, Supabase, OpenAI, and other infrastructure or support providers. Your use of third-party services may also be subject to their terms and policies.

Placed is not responsible for third-party services outside our reasonable control.

13. Disclaimers

To the maximum extent permitted by law, Placed is provided on an "as is" and "as available" basis. We do not guarantee that Placed will be uninterrupted, error-free, completely secure, or that AI-generated information will be accurate.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

14. Limitation of Liability

To the maximum extent permitted by law, ESLOYEL INC and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to Placed.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to Placed will not exceed the greater of (a) the amount you paid to Placed through the App Store during the 12 months before the event giving rise to the claim or (b) US $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless ESLOYEL INC from claims, losses, liabilities, and expenses arising from your unlawful use of Placed, your violation of these Terms, or content you upload in violation of another person's rights.

16. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except to the extent applicable consumer law requires otherwise.

Any dispute that is not required by law to be heard elsewhere will be brought in a court of competent jurisdiction located in New York.

17. Apple-Specific Terms

If you download Placed from Apple's App Store:

  • these Terms are between you and Placed, not Apple;
  • Apple is not responsible for providing maintenance or support for Placed;
  • Apple is not responsible for claims relating to Placed except as required by applicable law;
  • Apple and its subsidiaries are intended third-party beneficiaries of the Apple-related provisions of these Terms and may enforce those provisions as applicable; and
  • your use of Placed must comply with applicable App Store terms.

18. Changes to These Terms

We may update these Terms as the service changes. If a change is material, we may provide notice through the app, our website, or another reasonable method. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
